Avenir

1. Definitions

1.1. Avenir refers to Avenir, a digital design and AI automation agency.
1.2. Client refers to any individual, company, or organization that engages Avenir for services.
1.3. Services refers to all offerings provided by Avenir, including brand design, web development, positioning strategy, digital presence, and AI automation solutions.
1.4. Project refers to any specific scope of work agreed upon between Avenir and the Client.

2. Services Provided
2.1. Avenir provides creative and technical services as outlined in project proposals or service agreements.
2.2. The exact scope, deliverables, and timeline for each project will be defined in a separate proposal or contract agreed upon by both parties.

3. Client Responsibilities
3.1. Clients are responsible for providing accurate briefs, brand assets, feedback, and approvals in a timely manner.
3.2. Delays caused by the Client's failure to provide required materials or approvals may affect project timelines. Avenir is not liable for such delays.
3.3. Clients must ensure that any content, logos, or materials provided do not infringe on third-party intellectual property rights.

4. Payments & Fees
4.1. All fees are outlined in the project proposal. Work begins upon receipt of the agreed deposit.
4.2. Final deliverables will be released upon receipt of full payment.
4.3. Late payments may result in work being paused until the outstanding balance is settled.
4.4. Avenir reserves the right to charge a late fee on overdue invoices.

5. Revisions
5.1. The number of revision rounds included is defined in the project proposal. Revisions beyond the agreed scope will be billed separately.
5.2. Revisions requested after final approval that require significant rework may be treated as a new project scope.

6. Intellectual Property
6.1. Upon full payment, the Client receives full ownership of the final agreed deliverables.
6.2. Avenir retains the right to display the work in its portfolio and marketing materials unless explicitly agreed otherwise in writing.
6.3. Any preliminary concepts, drafts, or unused designs remain the intellectual property of Avenir.

7. Confidentiality
7.1. Avenir will treat all Client information shared during the project as confidential and will not disclose it to third parties without prior consent.

8. Limitation of Liability
8.1. Avenir's total liability for any claim arising from its services shall not exceed the total amount paid by the Client for the specific project in question.
8.2. Avenir is not liable for indirect, incidental, or consequential damages, including lost revenue or business opportunities.

9. Termination
9.1. Either party may terminate the project with written notice.
9.2. In the event of Client-initiated termination, any work completed up to the point of termination will be billed accordingly. Deposits are non-refundable.
9.3. Avenir reserves the right to terminate the engagement if the Client breaches these terms or engages in conduct that is unlawful or harmful.

10. Changes to Scope
10.1. Any additions to the agreed project scope must be approved in writing and may incur additional fees and timeline adjustments.

11. Governing Law
11.1. These terms are governed by the applicable laws of the jurisdiction in which services are rendered. Any disputes will be resolved through good-faith negotiation before pursuing legal action.

12. Changes to These Terms
12.1. Avenir reserves the right to update these terms at any time. Continued engagement with Avenir after changes are posted constitutes acceptance of the revised terms.
